Terms of Service
Applicability
(a) These terms and conditions for use of service (these “Terms”) govern the services (“Services”) provided by Park Slope Cleaning (hereinafter referred to as “Park Slope Cleaning,” “We,” “Us,” or “Our”) to you, the client (“You,” “Your,” or “Client”). In the event of any conflict between these Terms and any other contract or agreement between You and Us regarding the Services, the terms of that contract or agreement shall prevail.
(b) These Terms, along with any quote, estimate, or invoice issued by Us in connection with the Services (collectively, the “Agreement”), constitute the entire agreement between You and Us, superseding all prior agreements, whether written or oral. These Terms take precedence over any of Your general terms and conditions, regardless of when they were submitted.
(c) Park Slope Cleaning reserves the right to modify these Terms or the Services without materially affecting the nature or scope of the Services. Any changes will be communicated through updates posted on our website parkslopecleaning.com/terms, and by soliciting Services from Us, You accept the revised Terms.
Performance of Services
(a) Park Slope Cleaning will perform the Services as described in the agreed-upon quote or estimate for the specified location. Each service request is considered a separate assignment, potentially consisting of various tasks to achieve the agreed-upon goals.
(b) While We strive to meet performance dates, all schedules are estimates. Your cooperation is essential for the timely and successful completion of Services.
(c) You agree not to directly or indirectly offer payment to any employees, contractors, or affiliates of Park Slope Cleaning outside of the agreed-upon terms.
Client’s Responsibilities
(a) Any delay or obstruction in the performance of Services caused by Client’s actions or omissions will not be deemed a breach of these Terms by Park Slope Cleaning.
(b) Soliciting, hiring, or attempting to hire any Park Slope Cleaning personnel is strictly prohibited.
Inspection and Rejection of Services
(a) You are expected to inspect the Services upon completion. Unsatisfactory Services must be reported within 48 hours, after which remedies may include reperformance or refund at our discretion.
Pricing and Payment
(a) Payment terms will be outlined in the provided invoice. Any taxes or fees imposed on the Services will be Your responsibility, excluding taxes on Park Slope Cleaning’s income.
No Warranty
Park Slope Cleaning provides Services “as is” without any express or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose.
Limitation of Liability
Park Slope Cleaning’s liability for any damages arising from or related to the Agreement is limited to the amount paid for the Services, with certain exceptions not limited by this clause.
Indemnification
You agree to indemnify Park Slope Cleaning against any claims or damages arising from Your breach of these Terms or use of the Services.
Dispute Resolution
Disputes will be resolved through arbitration in New York, New York, under the laws of the State of New York.
Compliance with Law and Termination
You agree to comply with all applicable laws. Park Slope Cleaning may terminate the Agreement with immediate effect under certain conditions, such as non-payment or breach of Terms.
Miscellaneous
These Terms also cover provisions on non-solicitation, confidentiality, force majeure, and governing law, among others.
